By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. Please read these Terms carefully before using our Service. ## Public Beta & Known Limitations The Service is provided in a beta state and has known limitations including but not limited to content filtering, index coverage, regional availability, and search functionality. These limitations are expected during the beta period and are described in further detail in our published FAQ and beta notice. Timpi makes no representation that these limitations will be resolved within any specific timeframe. These limitations are expected and known. Your use of the Service constitutes acknowledgement and acceptance of them. ## Eligibility and Access ### Age Requirement You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are under 18, you are not permitted to access or use the Service. We do not knowingly collect information from users under the age of 18. If we become aware that a user is under 18, we will take steps to terminate their access. ### Account Registration Some features of the Service may require you to register for an account. When you register, you agree to: • Provide accurate, current, and complete information • Maintain and promptly update your account information • Safeguard your account credentials • Accept responsibility for all activities that occur under your account • Notify us immediately of any unauthorised use of your account ## Service Modifications We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. Given that the Service is in Public Beta, features may change, be removed, or be added at any time. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. ## Acceptable Use By using our Service, you agree not to: • Use the Service in any way that violates any applicable law or regulation • Use the Service for any illegal or unauthorised purpose • Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service • Use automated means, including spiders, robots, crawlers, data mining tools, or similar methods to access the Service without our prior written consent • Decompile, reverse engineer, or otherwise attempt to obtain the source code of the Service • Take any action that imposes an unreasonable or disproportionately large load on our infrastructure • Use the Service to send unsolicited communications, promotions, or advertisements • Impersonate another person or misrepresent your affiliation with a person or entity • Attempt to bypass any measures we may use to prevent or restrict access to the Service • Use the Service to search for, access, distribute, or facilitate access to child sexual abuse material (CSAM) or any content that exploits or endangers minors ## Content Filtering and Safe Search Timpi provides content filtering on a best-effort basis only. As described in Section 2 during the Public Beta period. We do not warrant that our filtering will prevent all offensive, explicit, illegal, or otherwise inappropriate content from appearing in search results. Users are responsible for their own use of the Service and for ensuring the Service is appropriate for their context and audience. You should not rely on the Service's filtering as a comprehensive safeguard. We reserve the right to improve, modify, or replace our filtering systems at any time without notice. ## Wilson AI — Automated Responses The Service includes Wilson AI, an automated assistant that generates responses based on search index data and large language model technology. By using Wilson AI you acknowledge and agree to the following: • Wilson AI responses are generated automatically and are not verified for accuracy, completeness, or currency. Responses may contain errors, omissions, or information that is outdated or factually incorrect, including responses that appear confident or authoritative. • Wilson AI is not a qualified professional of any kind. Nothing generated by Wilson AI constitutes medical, legal, financial, safety, or other professional advice. You should not rely on Wilson AI responses as a substitute for advice from a qualified professional. If you are making a decision that affects your health, finances, legal position, or safety, consult an appropriate professional. • Your use of Wilson AI responses is entirely at your own risk. Timpi International Ltd accepts no liability for any loss, harm, or damage arising from your reliance on content generated by Wilson AI. • Wilson AI draws from Timpi's search index, which is in active development and has known limitations as described in these Terms. The quality and completeness of Wilson AI responses is directly affected by the current state of the index. ## Content Reporting We take reports of harmful or inappropriate content seriously. If you encounter search results that you believe violate these Terms, applicable law, or that you believe are harmful, you may report them by: • Using the reporting mechanism available within the Service (where available) • Contacting us directly at with the subject line "Content Report" Please include the search query used and the URL(s) of the content in question. We will review reports and take action at our sole discretion. Submission of a report does not guarantee removal of content or a response in every case. For copyright infringement claims, please see Section 11 (Intellectual Property Rights) below. ## Privacy Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and disclose information about you, including information about your search queries. By using our Service, you consent to our collection, use, and disclosure of information as described in our Privacy Policy. If you are located in the European Economic Area, the United Kingdom, or another jurisdiction with applicable data protection legislation, you may have additional rights regarding your personal data. Please refer to our Privacy Policy for further details, including your rights of access, rectification, erasure, and data portability. ## User Content ### Your Content If our Service allows you to post, submit, or transmit content ("User Content"), you retain all rights in your User Content. By posting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content solely in connection with providing and improving the Service. ### Content Standards You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that: • You own or have the necessary rights to post your User Content • Your User Content does not violate the rights of any third party, including intellectual property rights and privacy rights • Your User Content complies with these Terms and all applicable laws and regulations ### Content Removal We reserve the right, but not the obligation, to monitor, review, and remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We are not liable for any failure or delay in removing such content. ## Advertising Our Service may display advertisements. The presence of advertisements does not constitute an endorsement by Timpi International Ltd of the advertised products or services. We are not responsible for the content, accuracy, completeness, legality, or quality of third-party advertisements or the products and services they promote. For information about how advertising may interact with your data, please refer to our Privacy Policy and Advertising Policy. ## Intellectual Property Rights ### Timpi Property The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Timpi International Ltd and its licensors. The Service is protected by copyright, trademark, and other laws of New Zealand and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. ### Copyright Infringement (DMCA / Takedown Requests) If you believe that content accessible through our Service infringes your copyright or other intellectual property rights, please contact us at with the subject line "IP Takedown Request". Please include: • A description of the copyrighted work you claim has been infringed • The URL(s) or location of the allegedly infringing material within the Service • Your contact information • A statement that you have a good faith belief that the use is not authorised by the rights owner • A statement that the information in your notice is accurate We will review takedown requests and respond in accordance with applicable law and at our sole discretion. ### Feedback If you provide us with any feedback or suggestions regarding the Service ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we shall have the right to use and fully exploit such Feedback in any manner we deem appropriate, without compensation to you. ## Disclaimers and Limitations of Liability ### Disclaimer of Warranties THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR CURRENCY OF SEARCH RESULTS, NOR THAT CONTENT FILTERING WILL BE EFFECTIVE OR COMPREHENSIVE. THE SERVICE IS IN PUBLIC BETA AND IS PROVIDED WITH KNOWN LIMITATIONS AS DESCRIBED IN SECTION 2. ### Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TIMPI INTERNATIONAL LTD, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE. ### Exclusions Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you. ## Indemnification You agree to defend, indemnify, and hold harmless Timpi International Ltd, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Service. ## Force Majeure We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation facilities, fuel, energy, labour, or materials, or failures of telecommunications or electrical systems. ## Governing Law and Jurisdiction These Terms and your use of the Service shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the courts of Auckland, New Zealand, and you consent to the personal jurisdiction of such courts. ## Dispute Resolution Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to mediation or arbitration in Auckland, New Zealand, in accordance with the laws of New Zealand. ## Waiver and Severability No waiver by Timpi International Ltd of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Timpi International Ltd to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. ## Entire Agreement These Terms, our Privacy Policy, and any other policies or guidelines referenced herein constitute the entire agreement between you and Timpi International Ltd regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Service. ## Changes to Terms We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Notice may be given by posting the updated Terms on our website. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
